1. About Opsly

Opsly provides software tools that may help businesses manage:

• Clients and leads
• Products and services
• Quotations
• Purchase orders
• Invoices
• Business documents
• Email communications
• Operational records
• Related business workflows

Available features may differ according to the selected plan, organization settings and product version.

2. Account Registration

You must provide accurate and current information when creating or using an Opsly account.

You are responsible for:

• Protecting your login credentials
• Maintaining the security of your account
• Activities performed through your account
• Providing accurate company and contact information
• Informing us promptly of suspected unauthorized access
• Ensuring users invited to your organization are properly authorized

Accounts and login credentials must not be sold, transferred or shared with unauthorized persons.

3. Organization Accounts and User Roles

Opsly is a multi-tenant platform. Each organization has a logically separated workspace containing its users and business records.

An organization administrator may:

• Invite or remove users
• Assign roles and permissions
• Configure company information
• Control access to business records
• Manage available integrations
• Manage the organization’s subscription, where applicable

The organization is responsible for its administrators’ and users’ actions within Opsly.

Removing a user may prevent future access but may not automatically delete historical records created by that user.

4. Customer and Business Data

You retain ownership of information and documents entered or uploaded to Opsly by you or your authorized users (“Customer Data”).

You grant us a limited right to host, process, transmit, back up and display Customer Data only as necessary to:

• Provide Opsly’s features
• Maintain and secure the platform
• Provide support
• Prevent abuse
• Comply with applicable legal obligations

You are responsible for ensuring that:

• Customer Data is accurate and lawfully obtained
• You have authority to process client, employee and third-party information
• Your use of Customer Data complies with applicable laws
• Uploaded documents do not violate intellectual-property or privacy rights
• Your communications comply with applicable marketing and anti-spam requirements

Our handling of personal information is described in the Opsly Privacy Policy.

5. Quotations and Business Documents

Opsly may generate quotations, invoices, purchase orders and other documents using information entered by users.

You are solely responsible for reviewing and confirming:

• Client details
• Product and service descriptions
• Prices and discounts
• Taxes and tax calculations
• Payment terms
• Validity dates
• Bank details
• Legal terms
• Regulatory requirements
• Final totals and calculations

Opsly is a document-management and workflow tool. It does not provide legal, accounting, taxation or financial advice.

You should review every document before sending it to a client or relying upon it for a business decision.

6. Gmail and Third-Party Integrations

Opsly may allow users to connect Gmail or other third-party services.

When you connect a third-party service:

• You authorize Opsly to perform only the actions described during the connection process.
• Your use remains subject to the third party’s terms and policies.
• You are responsible for reviewing recipients, content and attachments before sending.
• You must not use the integration for spam, fraud, harassment or unlawful communications.
• You may disconnect the integration or revoke access according to the available settings.

For Gmail integration, Opsly may send emails and quotation attachments that the user prepares, reviews or authorizes. Opsly does not guarantee that an email will be delivered, opened or accepted by the recipient.

Third-party services may change, suspend or discontinue their APIs. We are not responsible for interruptions caused by a third-party provider, but we may take reasonable steps to restore or replace affected functionality.

7. Acceptable Use

You must not use Opsly to:

• Violate any applicable law or regulation
• Send spam or unsolicited bulk communications
• Send fraudulent, misleading or deceptive documents
• Impersonate another person or organization
• Upload malicious software or harmful content
• Attempt to bypass authentication or security controls
• Access another organization’s information without permission
• Probe, scan or test platform vulnerabilities without written authorization
• Interfere with the platform’s availability or performance
• Reverse engineer protected portions of the service except where legally permitted
• Use automated methods that create unreasonable platform load
• Infringe intellectual-property, confidentiality or privacy rights
• Circumvent subscription, usage or account restrictions
• Resell or sublicense Opsly without written authorization

We may investigate suspected abuse and restrict or suspend accounts when reasonably necessary to protect Opsly, our users or third parties.

8. Subscriptions and Payments

Some Opsly features may require a paid subscription.

Applicable pricing, billing periods, feature limits and taxes will be presented in an order form, proposal, subscription screen or separate commercial agreement.

Unless otherwise agreed in writing:

• Fees are payable according to the selected billing cycle.
• Applicable taxes may be charged separately.
• Subscription fees already paid are non-refundable, except where required by law or expressly agreed.
• Failure to pay may result in restricted access or suspension.
• Plan changes may affect available features and usage limits.
• Renewal and cancellation terms will follow the accepted subscription or commercial agreement.

We will communicate material pricing changes before they apply to an existing paid subscription.

9. Availability and Changes

We aim to keep Opsly reasonably available, but we do not guarantee uninterrupted or error-free operation.

Availability may be affected by:

• Scheduled maintenance
• Emergency maintenance
• Internet or hosting failures
• Third-party service interruptions
• Security incidents
• Events outside our reasonable control

We may add, modify or discontinue features. Where a change materially reduces a paid service, we will provide reasonable notice when practicable.

10. Support

Support availability and response times may depend on the organization’s plan or separate service agreement.

When requesting support, you agree to provide sufficient information to diagnose the problem. You must not share passwords or unnecessary sensitive information with support personnel.

11. Intellectual Property

Opsly, including its software, design, branding, documentation and underlying technology, is owned by or licensed to Shivaswarajya Techno Innovation.

These Terms grant you a limited, non-exclusive, non-transferable and revocable right to use Opsly for your organization’s internal business purposes during the applicable subscription or authorized-access period.

These Terms do not transfer ownership of Opsly or its intellectual property to you.

You retain ownership of your Customer Data, business names, logos and uploaded materials.

12. Feedback

If you provide suggestions or feedback about Opsly, you allow us to use that feedback to improve the platform without an obligation to compensate you.

We will not claim ownership of confidential business information merely because it was included in feedback.

13. Data Security and Backups

We use reasonable technical and organizational measures designed to protect Customer Data.

However, no system is completely secure or immune from interruption. You are responsible for maintaining independent copies of critical documents and business information where appropriate.

14. Suspension and Termination

You may stop using Opsly at any time. Subscription cancellation remains subject to the applicable billing or commercial agreement.

We may restrict, suspend or terminate access when:

• Fees remain unpaid
• These Terms are materially violated
• The account creates a security or legal risk
• The platform is used fraudulently or unlawfully
• Continued access could harm Opsly, its users or third parties
• We are required to do so by law

Where appropriate, we may provide notice and an opportunity to correct the issue before termination.

After termination, access to Customer Data may be restricted. Data may be retained or deleted according to our Privacy Policy, contractual commitments and legal obligations.

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Opsly is provided on an “as available” basis.

We do not guarantee that:

• Opsly will always be uninterrupted or error-free
• Every email will be successfully delivered
• Generated documents will satisfy every legal or tax requirement
• User-provided information will be accurate
• The platform will meet every business requirement
• Third-party integrations will remain continuously available

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Shivaswarajya Techno Innovation will not be liable for indirect, incidental, special or consequential losses arising from the use of Opsly, including loss of profits, business opportunities, goodwill or data.

Where liability cannot legally be excluded, our total aggregate liability relating to Opsly will not exceed the fees paid by the affected organization for Opsly during the three months immediately preceding the event giving rise to the claim.

This limitation does not apply where liability cannot be limited under applicable law.

17. Indemnification

To the extent permitted by law, an organization using Opsly agrees to be responsible for claims, losses or expenses arising from:

• Its unlawful use of Opsly
• Customer Data it uploads or processes
• Documents or communications it sends
• Its violation of third-party rights
• Its material breach of these Terms

This section does not apply to the extent a claim results directly from our own unlawful conduct.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to applicable law, courts located in Kolhapur, Maharashtra, India will have jurisdiction over disputes relating to these Terms or the use of Opsly.

Before beginning formal proceedings, both parties should attempt in good faith to resolve the dispute through written communication.

19. Changes to These Terms

We may update these Terms to reflect changes in Opsly, applicable laws or our business practices.

Updated Terms will be published on this page with a revised effective date. When changes are material, we may provide additional notice through Opsly or by email.

Continued use of Opsly after the updated Terms become effective constitutes acceptance of the revised Terms, where permitted by law.
